Summary of the Position :

Novavax is seeking a seasoned, collaborative and business-oriented corporate attorney to act as our primary legal liaison to our strategic alliance and business development teams. This position will report to the Associate General Counsel and will work closely with alliance managers, business development executives and the rest of the company’s legal and compliance functions in Gaithersburg, Maryland to advance strategic company objectives.

Responsibilities include but are not limited to :
  • Partner with, and provide legal direction and guidance to, our strategic alliance and business development teams
  • Become a subject matter expert on our partner relationships, including understanding the strategy and contractual rights and obligations of each relationship
  • Collaborate closely with business development and other key stakeholders to ensure the timely management of strategic transactions
  • Structure, draft and negotiate time-sensitive agreements, amendments, statements of work and other legal documents related to our partner relationships and strategic transactions. Responsibility will encompass the entire lifecycle of each deal, from non-disclosures agreements to term sheets through definitive agreements
  • Collaborate with internal stakeholders, and where necessary, manage outside counsel to progress each agreement/transaction; escalate matters as appropriate
  • Oversee and manage the legal aspects of strategic transactions, including coordinating and performing due diligence and completing disclosure schedules

Minimum Requirements :
  • Licensed attorney with 20+ years of experience
  • 15+ years of experience of drafting, negotiating and advising on complex agreements and relationships
  • Significant experience acting as an in-house legal advisor
  • Experience with pharmaceutical or biotech industry, preferably with vaccines or infectious disease
  • Successful track record of advising management on legal issues
  • Customer centric and solutions-oriented approach in supporting both external and internal stakeholders while protecting the interests of the company
  • Strong verbal and written communication skills
  • Team player capable of leading and participating within cross-functional project teams to meet key milestones under tight timelines
  • Strong work ethic with ability to work independently
  • 25%+ travel required

Preferred Qualifications :
  • Experience with international contracting, especially in Europe and Asia Pacific regions
